1. Who we are and what these terms cover

These Terms of Use are an agreement between you and ITRADE Technologies STEM LLC, a Florida limited liability company ("ITRADE," "we," "us"), which operates every ITRADE brand listed below. They apply to every ITRADE property and program, including:

• Websites: ITRADEinnovations.com, ITRADEevents.com, itradeinnovation.network, and any ITRADE STEM site.
• Brands and programs: ITRADE Innovations, ITRADE Innovation Network, ITRADE Events, ITRADE STEM, the ITRADE Dispatch, and the Innovation Compass podcast.
• Events: in-person and virtual events we host or co-host, including Working Sessions, Executive Tables, Industry Nights, and Build Labs.
• Community channels: our WhatsApp and Telegram communities, our virtual venue on Roam, and any other channel we run for members.

Together these are the "Services." By using the Services, registering for an event, or joining a community channel, you agree to these terms. If you disagree with them, please stop using the Services.

These terms incorporate our Privacy Policy and our Community and Event Guidelines. Paid partners also sign a separate Partner Agreement, which controls if it conflicts with these terms.

2. Eligibility

You must be at least 18 to register for events, join community channels, or become a member. Some ITRADE STEM programs admit participants under 18. Those programs require written consent from a parent or legal guardian, collected before participation.

3. Your account and information

You agree to give accurate registration and contact information and to keep it current. You are responsible for activity under your registration. To update your details or preferences, email info@itradeinnovations.com.

4. Events and tickets

Registration. Registration happens through ITRADEevents.com or a ticketing partner such as Luma or Eventbrite. The ticketing partner's own terms also apply to your purchase.

Capacity and curation. Many ITRADE events are capacity-limited or invitation-based. We may approve, waitlist, or decline registrations to keep each room matched to its format.

Transfers and refunds. You may transfer a ticket to a colleague by emailing us before the event. Paid tickets are refundable up to 7 days before the event. After that, we offer a credit toward a future event.

Changes. We may change an event's date, time, venue, format, or speakers. If we cancel an event, we refund paid tickets in full.

Virtual events. Virtual events take place in ITRADE's virtual venue on Roam. Your registration includes access, and the join link is personal to you.

5. In-person attendance

In-person events take place at partner venues, such as the Tower Club in Fort Lauderdale. You agree to follow each venue's rules, including dress code, security, and alcohol service policies. You attend at your own risk and are responsible for your own conduct and belongings. Where a venue serves alcohol, you must be of legal drinking age and drink responsibly. We or the venue may ask anyone to leave whose conduct puts others at risk.

6. Membership

The Innovation Network offers a path from Attendee to Member, Circle Member, and Circle Lead. We set the criteria for each level and may update them. Membership is personal and non-transferable. We may pause or end a membership for a breach of these terms or the Community and Event Guidelines.

7. Community channels

Our WhatsApp community is where members talk with each other. Our Telegram channel carries announcements, and may open to comments as the community grows. By joining either:

• Visibility. Other members of a group can see your name, profile photo, and phone number, as the platform displays them.
• Access. Channels are open to members and approved partners. We review requests to join and may remove anyone.
• Conduct. The Community and Event Guidelines apply in every channel.
• Platform terms. WhatsApp, Telegram, and Roam are third-party services with their own terms and privacy policies. We manage our groups; each platform handles its own data under its own policies.

8. Communications and consent

Event and account messages. When you register for an event, we send messages about that event, such as confirmations, join links, reminders, venue details, and follow-ups. These are part of the service you requested.

Marketing email. We send newsletters, including the ITRADE Dispatch, event invitations, and promotional email only to people who opt in. You can unsubscribe through the link in any email.

Text messages. If you opt in to ITRADE Events Alerts, you agree to receive recurring text messages, including event reminders and marketing, at the number you provide, which may be sent using automated technology. Consent is not a condition of registration or purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel and HELP for help, or email info@itradeinnovations.com. Carriers are not liable for delayed or undelivered messages.

WhatsApp and other messaging apps. We send marketing messages on WhatsApp only to people who opt in to them. Taking part in a community group is separate from opting in to marketing.

9. Photography and recording

We photograph and record many events to share what happens in the Network. Our approach depends on the format:

• Industry Nights, Working Sessions, and Build Labs may be photographed and recorded. Each event listing says so.
• Executive Tables and closed-door sessions are photo-free and unrecorded unless every participant agrees in advance.
• Virtual sessions on Roam may be recorded. We announce recording at the start of each session.

Where an event is photographed or recorded, you grant ITRADE a royalty-free license to use images and recordings in which you appear, for marketing, educational, and promotional purposes across our channels. You can opt out at any event by telling a host at check-in or choosing the opt-out marker we provide, and we will avoid featuring you. If you later want a published image of you removed from our channels, email us and we will take it down within 10 business days.

Photos of participants under 18 are used only with written parent or guardian consent.
